Agreement to Terms

Welcome to ReplyFbHub. By accessing or using our services, you agree to be bound by these Terms of Service (hereinafter "Terms"). If you do not agree to any part of these Terms, please do not use our services. These Terms constitute a legally binding agreement between you and ReplyFbHub.

Service Description

ReplyFbHub is a Facebook Messenger customer service management platform that provides the following features:

  • Unified inbox to manage messages from multiple Facebook Pages
  • Auto-reply and chatbot functionality
  • Team collaboration and message assignment
  • Customer relationship management (CRM) features
  • Analytics and reporting tools

Account Registration and Security

Using our services requires account registration. You agree to:

  • Provide accurate, complete, and current registration information
  • Maintain the confidentiality of your account password
  • Be responsible for all activities that occur under your account
  • Immediately notify us of any unauthorized use
  • Not share your account credentials with others

We reserve the right to suspend or terminate accounts when violations are discovered.

User Conduct

When using our services, you agree to:

  • Comply with all applicable laws and regulations
  • Comply with Facebook Platform Policies and Community Standards
  • Respect the rights of other users and customers
  • Conduct business communications honestly and professionally

Prohibited Activities

Intellectual Property

The ReplyFbHub service and its original content, features, and design are the exclusive property of ReplyFbHub and are protected by copyright, trademark, and other intellectual property laws. You may not: copy, modify, distribute, or create derivative works based on our services; reverse engineer our software; remove or modify any copyright notices or trademarks.

You retain all rights to content you submit through the service, but grant us a non-exclusive license to use that content to provide the services.

Third-Party Services

Our service integrates with the Facebook (Meta) platform. When using our services, you must also comply with:

  • Facebook Terms of Service
  • Facebook Platform Policies
  • Facebook Business Tools Terms
  • Facebook Community Standards

We are not responsible for the availability, accuracy, or functionality of Facebook or any third-party services. Facebook may change its APIs or policies at any time, which may affect our services.

Fees and Payment

Regarding our paid services:

  • Fees are charged according to the pricing displayed at the time of purchase
  • Subscriptions auto-renew unless cancelled before the end of the current period
  • Prices may change with notice
  • Payments are non-refundable unless required by law
  • You are responsible for all applicable taxes

If payment fails, we may suspend your account access until the payment issue is resolved.

Service Changes and Termination

We reserve the right to:

  • Modify, suspend, or terminate any part of the service at any time
  • Update or change service features and pricing
  • Terminate your account for violation of these Terms

You may terminate your account at any time by contacting our support team. Upon termination, you will lose access to the service and your data.

Disclaimer

Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that: the service will operate uninterrupted or error-free; the service will meet your specific requirements; any results obtained through the service will be accurate or reliable.

Limitation of Liability

To the maximum extent permitted by law, ReplyFbHub and its directors, employees, partners, agents, and suppliers shall not be liable for: any indirect, incidental, special, consequential, or punitive damages; loss of profits, data, goodwill, or other intangible losses. Our total liability shall not exceed the amounts you paid to us in the 12 months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless ReplyFbHub and its affiliates, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorney fees) arising from: your use of the service; your violation of these Terms; your infringement of any third-party rights.

Dispute Resolution

Any disputes relating to these Terms or the services shall first be resolved through friendly negotiation. If negotiation fails to resolve the dispute, both parties agree to submit the dispute to a court of competent jurisdiction. These Terms are governed by the laws of the People's Republic of China (not applicable to users in Taiwan, Hong Kong, and Macau, who are subject to local laws).

General Terms

  • Entire Agreement: These Terms constitute the entire agreement between you and ReplyFbHub regarding the use of services
  • Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect
  • Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision
  • Assignment: You may not assign any rights or obligations under these Terms without our prior written consent
  • Modification: We reserve the right to modify these Terms at any time; modified Terms will be effective upon posting
